EXPERIENCED COMPANY SECRETARY

Company Background

One Investment Group is a rapidly growing business providing outsourced service solutions to clients across areas such as fiduciary, administration and company secretarial services.

As a result of continuing growth, One Investment Group is looking to employ an experienced company secretary in its Corporate Secretarial Services team.  This team provides outsourced corporate secretarial services to a number of Australian companies on behalf of a range of offshore/local businesses and not for profit clients. 

The role will involve the on-boarding of new corporate secretarial clients and the management of an existing practice of corporate secretarial clients. This is an opportunity to join an established and growing unit in a rapidly expanding financial services group with over $25 billion FUA. You will be provided with an existing client base and the opportunity to grow our service offering.

 

SKILLS AND EXPERIENCE

QUALIFICATIONS

  • Bachelor degree in law or other qualification relevant to the provision of company secretarial services
  • Membership of a recognised body such as the Australia Institute of Company Directors or the Governance Institute of Australia is desirable

EXPERIENCE

  • Minimum 5 years' relevant experience in corporate law, managing company secretarial responsibilities, corporate governance and compliance policies
  • Experience can be gained from either a law firm or in an internal corporate role at a listed or unlisted company in Australia or overseas
  • Track record of developing and maintaining strong relationships with clients and business lines to enhance commercial acumen
  • Extensive knowledge of Corporations Act 2001 (Cth) required and knowledge of ASX Listing Rules and ASX Corporate Governance Principles and Recommendations desirable

SKILLS AND KNOWLEDGE

  • Managing board process
  • Compilation of board and committee agendas
  • Circulation of board and committee papers
  • Recording and finalising minutes of board and committee meetings including all action items
  • Maintain all relevant corporate registers, board minutes and other folders as required by law
  • Ensure compliance with all relevant provisions of the Corporations Act 2001 (Cth)
  • Assist with the preparation of annual reports and the annual general meeting
  • Maintenance of board and committee policies, processes and procedures
  • Advise the board as required on good practice in corporate governance
  • Supporting the board in meeting their governance and compliance obligations
  • Assist the board and chairperson in ensuring that the board has the information it requires to make informed decisions
  • Participate with the board, board committees and legal firms as required in risk management and corporate responsibility matters
  • Expertise in the development of governance, risk and compliance frameworks and policies
  • Detailed understanding of relevant statutory laws or experience in Listing and Business rules of ASX is desirable
